Terms of Service

Overview

These Terms of Service ("Terms") govern your access to and use of the services provided by UGC Vids AI Ltd ("UGC Vids AI", "we", "us", or "our"), a company registered in England and Wales under company number 17165788, including the website ugcvids.ai and any related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms. The Service is not directed to children under 18, and we do not knowingly collect information from children under 18.

2. Account Registration

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials.
• Promptly update your information if it changes.
• Accept responsibility for all activity that occurs under your account.

You are responsible for safeguarding your account credentials and for any activities or actions under your account. We reserve the right to suspend or terminate accounts that contain false information or are used in violation of these Terms.

3. Subscriptions, Trials, and Billing

3.1 The Free Three-Day Trial

New customers can start any paid plan (Starter, Growth, or Agency) with a free 3-day trial. A valid payment method is required, but your card is not charged during the trial. By subscribing, you acknowledge and agree to all of the following:

• Your plan starts, and your card is charged the standard plan price, when the 3 days end. That is the only thing that converts your trial automatically: nothing you do inside the product charges you on its own. The standard price is $49/month for Starter, $99/month for Growth, or $199/month for Agency, or the corresponding annual rate if you selected annual billing.
• You can choose to start your plan before the 3 days are up. If you reach a trial limit we offer you the option to start your plan early. We show you the exact amount first, and your card is charged only if you press the button to confirm. Your billing period and renewal date then run from that day.
• Your free trial includes 1,500 credits and up to three videos, and the most expensive models are not available during the trial. If you reach either limit, generation stops and you are offered an upgrade. You are not charged for reaching a limit. Your plan's full monthly credit allowance and the full model lineup unlock when your plan starts at the standard price.
• After your plan starts it renews automatically every month (or year, for annual plans) on that date, until you cancel. When your trial starts we email you a confirmation that states the exact date the trial ends, the amount you will be charged on that date, and how to cancel, and we email you a reminder at least 7 days before each renewal after that.
• The free trial is available once per customer. If you have used this offer before, or have previously held a subscription with us, you are charged the standard plan price immediately when you subscribe, with no trial.
• You can cancel at any time, including during the free trial, from the Billing page in your dashboard, the billing portal linked in your receipt and renewal emails, or by emailing support@ugcvids.ai. Cancel before the 3 days end and you pay nothing at all. Cancelling later stops all future charges, and you keep access until the end of the period you have already paid for.
• We retain records of your acceptance of these Terms at signup, the timestamp and payment method used to subscribe, every video generation we deliver to you (including timestamps and downloadable URLs), and your cancellation status. By continuing past this clause you acknowledge these records may be used as evidence in response to any payment dispute or chargeback.

3.2 Subscription Plans

We offer recurring subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

How to cancel. You can cancel at any time from the Billing page in your dashboard, or by emailing support@ugcvids.ai. Cancellation stops all future renewals and takes effect at the end of the billing period you have already paid for. Requests made in the final hours before a renewal may not be processed in time to stop that renewal, in which case the cancellation applies from the following cycle.

Who processes your payment. UGC VIDS AI LTD is the merchant of record for orders placed through this site. Card payments are processed on our behalf by our payment service provider. Your card statement will show a line identifying UGC VIDS AI LTD, normally containing UGCVIDS AI. Depending on your bank and your card, the name of our payment service provider may appear alongside it. Prices are shown and charged in US dollars. Refunds are issued by us, on the terms set out below.

Our AI creators are licensed. Every AI creator and presenter provided in the Service is licensed for commercial use. Where a likeness derives from a real performer, it is used under licence. We do not provide likenesses of real, identifiable people who have not licensed them, and you may not use the Service to depict any real person without their documented permission. See our Acceptable Use Policy.

We are independent of the model providers. UGC Vids AI is an independent product and is not affiliated with, endorsed by, or sponsored by Google, OpenAI, ByteDance, Kuaishou, Alibaba, xAI or any other model provider. Model names are referenced only to identify the third-party models accessible through our interface.

3.3 Refund Policy

Subscriptions are non-refundable, except for the one narrow case set out here. We refund your first paid subscription charge (the charge at the standard plan price that lands when your free trial ends) only if both of the following are true: (a) you request the refund within 3 days of that charge, and (b) you have generated zero videos since that charge at the time of your request. Videos you generated during the free trial cost you nothing and do not disqualify you. Once you have generated any video on the paid plan, you have received the core service and the charge is non-refundable. Failed generations are never charged and do not count.

Using the Service after requesting a refund withdraws the request. If you submit a refund request and then generate, or attempt to generate, any video or image on your account, that activity is treated as your decision to keep the Service. Your refund request is automatically withdrawn and will not be processed.

All other charges are non-refundable. Every renewal (monthly or annual, whether or not the service was used that cycle), and any purchased credit packs are final. To request a refund, email support@ugcvids.ai from your account email within the 3-day window. Full detail is in our Refund & Cancellation Policy.

3.4 Price Changes

We reserve the right to change our prices. We will provide at least 30 days' notice of any price changes via email. Continued use of the Service after a price change constitutes acceptance of the new pricing.

3.5 Failed Payments

If a payment fails, we will attempt to retry the charge up to 3 times over 10 days, at roughly three, seven and ten days after the failed payment. If none of those attempts succeeds, the subscription is cancelled. Some declines stop the retries straight away: if your bank tells us the card is lost, stolen, closed, or otherwise cannot be used again, we do not re-present it. We email you to ask for a different card instead, and close the subscription if no working card is added within 7 days of that failed payment.

Downgrade on failed payment. If your payment method cannot be charged for your current plan, you authorise us, at our discretion, to move your subscription to a lower-priced plan that your payment method can support and to charge that lower amount instead, so that your account stays active rather than being cut off. We will notify you by email if we do this, and you can change or cancel your plan at any time from the Billing page in your dashboard, or by emailing support@ugcvids.ai.

Annual plans that fail to charge convert to monthly. If we are unable to collect payment for an annual subscription (whether the initial annual charge or an annual renewal), you authorise us to keep your subscription active by switching it to monthly billing for the same plan at our then-current monthly rate, and to charge your payment method on a recurring monthly basis from that point forward. You may change or cancel your plan at any time by emailing support@ugcvids.ai.

If no charge succeeds, your account access will be suspended or cancelled until payment is successfully processed.

3.6 Payment Disputes and Chargebacks

The following are charges you expressly authorised, and the records below are what we supply your card issuer if a dispute arises:

• The charge at the end of the free trial, and every renewal described in Section 3.1. By subscribing you expressly authorised a recurring charge at the standard plan price on each billing date until you cancel, and you were shown the trial length, the price after the trial and the cancellation method before you entered your card.
• Recurring subscription charges issued on the billing date of an active, uncancelled subscription. You authorised these at signup and at each successful prior charge by continuing the subscription.
• Charges for services already delivered. Where we have delivered downloadable video files to your account, those generations represent value rendered to you and the corresponding portion of the charge is non-refundable except under our explicit refund policy in Section 3.3.

Before initiating a chargeback with your bank or card issuer, you agree to first contact us at support@ugcvids.ai and allow us 7 business days to resolve the issue. We fix genuine billing mistakes quickly, and a direct email is always faster than a bank dispute.

In the event of a chargeback or payment dispute, we will provide your card issuer with: your acceptance of these Terms, the timestamp and metadata of your payment-method submission, the videos delivered to your account (including timestamps and download URLs), your cancellation status at the time of the disputed charge, and any correspondence with our support team. Nothing in these Terms affects your right to dispute a transaction with your card issuer, and we would always rather fix a wrong charge directly than have you go to your bank.

If a chargeback is filed and reversed in our favour, or if you initiate a chargeback in breach of this section, we reserve the right to: (a) immediately terminate your account and revoke access and (b) refuse future service to the account

3.7 Responsibility for Credits Used

The Service is credit-based. Each video or image you generate consumes credits from your plan allowance at the rates shown before you confirm each generation. By generating content you agree that the credits consumed represent a paid service rendered to you, and you authorise us to charge your payment method for all credits used on your account once your paid plan has started. The 1,500 credits granted for the free trial are not billed to you.

If your payment method cannot be charged for credits you have used (for example, due to insufficient funds, an expired card, or a prepaid or declined card with no available balance), the amount owed for that usage remains due. We may retry the charge, require a valid payment method before any further use, suspend or terminate your account, and recover the outstanding balance through any lawful means. The videos included in your free trial draw on the trial credit grant rather than your card; using them does not waive your obligation to pay for any further credits you choose to use once your paid plan has started.

4. Use of the Service

4.1 Generated Content Ownership

You retain full ownership of the video content you generate using the Service ("Generated Content"). We do not claim any ownership rights in your Generated Content.

You are solely responsible for:

• The product information, descriptions, and URLs you submit to the Service.
• The Generated Content you create.
• How you use, distribute, and display the Generated Content.
• Compliance with all platform policies (TikTok, Meta, YouTube, etc.) where you publish the Generated Content.
• Compliance with all applicable laws and regulations in your use of the Generated Content.

4.2 AI-Generated Nature of Avatars

The avatars provided in our library are AI-generated and do not depict real individuals. You acknowledge that:

• Generated videos are produced by artificial intelligence.
• The avatars do not represent actual people, employees, or customers.
• You are responsible for complying with any platform-specific or jurisdictional requirements to disclose AI-generated content (including but not limited to TikTok's AI content labeling requirements, Meta's disclosure rules, and the EU AI Act).
• You will not present Generated Content as a genuine testimonial from a real person in any context that would deceive consumers, including but not limited to violations of FTC guidelines on advertising and endorsements.

4.3 Acceptable Use

You agree not to use the Service to create, upload, or distribute content that:

• Depicts identifiable real people without their explicit consent (including deepfakes of celebrities, public figures, ex-partners, or any private individuals).
• Impersonates any person, brand, or entity in a misleading or fraudulent manner.
• Contains false or misleading testimonials presented as genuine.
• Makes unsubstantiated medical, health, financial, legal, or scientific claims.
• Constitutes adult, pornographic, or sexually explicit content.
• Promotes hate speech, harassment, threats, doxxing, or violence.
• Promotes illegal activities, illegal substances, or weapons.
• Contains content that infringes any third party's intellectual property, privacy, publicity, or other rights.
• Violates any applicable law or regulation.
• Contains malware, viruses, or other malicious code.
• Attempts to interfere with or disrupt the Service.

We reserve the right to terminate accounts and refuse refunds for any violations of this Acceptable Use Policy. We may also report illegal content to relevant authorities.

4.4 Usage Limits

Each subscription plan includes a monthly credit allotment that is consumed per generation based on the model and duration you select:

• Starter: 5,000 credits per month.
• Growth: 12,000 credits per month.
• Agency: 25,000 credits per month.

Monthly credits reset at the start of each billing cycle. Top-up credit packs may be purchased from your dashboard at any time and do not expire. Pricing for top-up packs and per-generation credit costs is subject to change with reasonable notice.

Definitions:

• A "video" means a successfully generated video output, regardless of length or duration.
• Failed generations (due to system errors on our end) are not charged for and consume no credits. Any credits already deducted are returned to your balance.
• Regenerations of the same script with different parameters count as separate videos.
• Unused monthly plan credits do not roll over to the following month. Purchased top-up credit packs are separate: they do not expire and carry over.
• There is no separate cap on the number of videos you may generate. Your credit balance is the only limit. When your credits run out you may purchase a top-up credit pack at the rates shown in your dashboard, upgrade your plan, or wait until your credits reset at the start of the next billing cycle.
• Images work differently. Image Studio carries a monthly image count as well as the credit cost of each image: 250 images a month on Starter, 750 on Growth, and 1,500 on Agency. That count resets with your billing cycle.

We reserve the right to throttle, suspend, or terminate accounts that engage in abusive usage patterns, including but not limited to attempting to bypass usage limits, automated scripted access, or commercial reselling of generated outputs without authorization.

4.5 Intellectual Property of Submitted Content

You represent and warrant that you have all necessary rights, licenses, consents, and permissions to use any product information, URLs, images, or other content you submit to the Service. You agree to indemnify and hold us harmless from any claims arising from your submission of content that infringes third-party rights.

If we receive a credible claim of copyright or trademark infringement related to Generated Content, we will follow the procedures of the Digital Millennium Copyright Act (DMCA) and equivalent UK intellectual property law. Notices should be sent to support@ugcvids.ai.

5. Our Intellectual Property

The Service, including all software, design, graphics, text, and other materials (excluding your Generated Content and content you submit), is owned by UGC Vids AI Ltd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms.

You may not:

• Copy, modify, or create derivative works of the Service.
• Reverse engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or commercially exploit the Service.
• Use automated tools (bots, scrapers) to access the Service without our written permission.
• Use our trademarks, logos, or branding without our prior written consent.

6. Third-Party Services and AI Providers

The Service relies on third-party providers, including but not limited to Anthropic, Google (Gemini API), Supabase, Resend, and Vercel. You acknowledge that:

• Service availability may be affected by the availability of these third-party services.
• We do not control the operations, terms, or policies of third-party providers.
• Changes in third-party service terms or pricing may affect our Service.
• We may change third-party providers at our discretion to maintain or improve service quality.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided "as is" and "as available". We may perform scheduled or unscheduled maintenance, and the Service may be temporarily unavailable due to:

• System maintenance or upgrades.
• Third-party service outages.
• Force majeure events (including but not limited to natural disasters, cyberattacks, or government actions).
• Other circumstances beyond our reasonable control.

8. Account Termination

8.1 Termination by You

You may cancel your subscription and terminate your account at any time by contacting support@ugcvids.ai. Upon cancellation:

• Your subscription will not renew at the next billing cycle, provided your cancellation reaches us within the notice window in Section 3.2.
• If you are on a paid plan, you will retain access to the Service until the end of your current paid period. If you cancel during the free trial, access ends immediately, because the trial is not a paid billing period.
• Your account data will be deleted in accordance with our Privacy Policy.

8.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without notice or refund, if you:

• Violate these Terms.
• Engage in fraudulent or illegal activity.
• Use the Service in a manner that harms us, other users, or third parties.
• Fail to pay fees owed to us.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that:

• The Service will meet your specific requirements.
• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate, complete, or reliable.
• Generated Content will perform as expected on third-party platforms.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UGC VIDS AI LTD AND ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless UGC Vids AI Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your Generated Content and its use, distribution, or display.
• Any false or misleading representations you make using Generated Content.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

If you are a consumer in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

13. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you via email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
